正穗外资新公司成立所需材料 Required documents for New Company Establishment

投资方提供（investors to provide）：

一、投资方开业证明的公证、认证原件2份、翻译件2份；

Opened the notarization, authentication 2 originals of Investors, and plus 2 copies of translation;

二、投资方的银行资信证明（证明可以披露金额，但金额不得少于所要投资新公司的注册资本）；原件1份、翻译件1份；

bank credit letter （may disclose the amount in the bank account, but the amount is not less than the registered capital of the new company）, one original、one copy.

三、投资方提供新公司的三个以上名称；名称结构：字号+行业+（上海）+有限公司；

(provide at lease 3 names for the new company such as: name + industry + (Shanghai) + Co., Ltd.

四、投资方确认新公司的组织结构，是成立董事会还是执行董事，确认法定代表人（可由董事长或执行董事兼任），及监事

Confirm the organizational structure of the new company, Board of directors or Executive directors; the legal representative (Maybe the same person of the chairman of the Board or the Executive director), and the supervisor;

五、提供董事会成员或执行董事及监事的护照复印件；

provide passport copies of each director and the supervisor;

六、确认新公司的经营范围、经营年限、注册资金等；

confirm the new company's scope of operation, period of operation, and registered capital

七、提供新公司的注册地址的合同原件三份，（新公司法定代表人签署）产权证复印件三份（权利人每页盖章）；

3 originals of the new company's rental contract; (signed by the legal representative of the new company) 3 copies of the ownership certificate;

八、投资方公司详细简介（公司的情况、地址、法人）；

Detailed introduction of the investing company (Company's situation, address,and the legal representative)

九、新公司法定代表人一寸照片1张，新公司法人的护照原件 （银行开户用）；
